Terms of Service

Quick read: By using the Homies website, web app, or mobile app (collectively, the “Service”), you agree to everything below—so read it carefully. If you don’t accept these terms, don’t use the Service.

1. Agreement to Terms

These Terms of Service (“Terms”) form a binding contract between you and Homies Labs LLC (“Homies,” “we,” “our,” or “us”). You accept the Terms by accessing or using any part of the Service.

2. Who May Use the Service

1. Age & Capacity. You must be at least 18 and capable of forming a binding contract.
2. U.S. Residents. The Service is intended for use in the United States. If you access it from elsewhere, you do so at your own risk and are responsible for local compliance.
3. Individual & Entity Users. If you use the Service on behalf of an organization, you confirm you have authority to bind that entity and that “you” refers to both you and the entity.

3. The Homies Platform

Homies helps people with developmental or other disabilities (“Members”) connect with screened caregiver roommates (“Caregivers”) and community resources. We are not a medical-, housing-, or employment-placement agency, nor do we directly provide caregiving services. We facilitate introductions and supply tools to manage shared living arrangements.

4. Account Registration & Security

• Provide accurate, current information.
• Keep credentials confidential.
• You’re responsible for all activity under your account.
• Notify us immediately of any unauthorized use.

5. Compliance with Disability & Government Programs

• We partner with California DDS regional centers and similar agencies.
• You agree to supply truthful eligibility data and documentation if your placement is subsidized or otherwise governed by DDS or other government programs.
• You authorize us to share relevant information with such agencies as required to verify eligibility, funding, or compliance.

6. Background & Verification

We may, but are not obligated to, conduct identity, background-check, or credential verifications on Members or Caregivers through third-party providers. We disclaim warranties as to the accuracy, completeness, or timeliness of any screening.

7. Payments & Fees (if applicable)

• Fees, billing cycles, and refund policies will be disclosed in-app before purchase.
• You authorize us to charge your selected payment method for all applicable fees and taxes.
• Late or disputed payments may result in suspension or termination.

8. User Responsibilities

You agree to:

1. Use the Service only for lawful, personal, non-commercial purposes.
2. Treat other users respectfully and comply with all tenancy laws, lease terms, and care plans.
3. Follow all applicable federal, state, and local laws, including the Fair Housing Act, ADA, Section 504, and state developmental-services regulations.
4. Not engage in: scraping, reverse engineering, harassment, discrimination, or any activity that could harm us, another user, or the Service.

9. User-Generated Content

• License You Grant. You grant Homies a worldwide, royalty-free license to host, display, and distribute your content solely to operate and improve the Service.
• Your Responsibility. You represent that you own or control all rights in your content and that posting it does not violate anyone’s rights or any law.
• Removal. We may remove content that violates these Terms or any law, at our sole discretion.

10. Intellectual Property

All Service software, text, graphics, logos, and trademarks are owned by Homies or its licensors and protected by law. You receive a limited, non-exclusive, revocable license to use the Service for its intended purpose; you acquire no ownership rights.

11. Third-Party Links & Integrations

We may link to third-party sites or services. We’re not responsible for their content, terms, or privacy practices. Use them at your own risk.

12. Disclaimers

1. No Professional Advice. Homies does not provide medical, legal, or housing advice. Consult qualified professionals for specific guidance.
2. As-Is Service. The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
3. User Arrangements. We are not a party to roommate agreements or caregiving relationships and disclaim all liability arising from them.

13. Limitation of Liability

To the fullest extent permitted by law:

• Homies will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses.
• Homies’ total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) $100 or (b) the amount you paid us in the twelve months before the claim occurred.

14. Indemnification

You agree to indemnify and hold harmless Homies, its affiliates, officers, agents, and employees from any claims, damages, or expenses (including attorneys’ fees) arising out of your (a) breach of these Terms, (b) content, (c) interactions with other users, or (d) violation of any law.

15. Termination

We may suspend or terminate your access at any time, with or without notice, for any breach of these Terms or if required by law or governmental request. Upon termination, Sections 9–18 survive.

16. Governing Law & Dispute Resolution

• Governing Law. California law (without regard to conflict-of-laws principles) governs these Terms.
• Venue. Exclusive jurisdiction lies in state or federal courts located in Los Angeles County, California, unless a mandatory arbitration clause below applies.
• Arbitration (if chosen). At our election, any dispute shall be resolved by binding arbitration under the JAMS Rules. You waive any right to a jury trial or class action.

17. Modifications

We may modify these Terms at any time. Material changes will be posted on the Service or emailed to you. Continued use after changes become effective constitutes acceptance.

18. Miscellaneous

• Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and Homies.
• Severability. If any provision is unenforceable, the remainder remains in effect.
• No Waiver. Our failure to enforce any provision is not a waiver of future enforcement.
• Assignment. You may not assign these Terms without our consent; we may assign them freely.
